To qualify for participation in this program you must:

1. Operate a top level domain
2. Target young Caribbean people
3. Not contain any Gaming, Gambling, Pornography or other objectionable content.

Please carefully read and agree with our Terms of Participation and click acceptance to continue.

This Agreement contains the complete terms and conditions that apply to an individual's or entity's participation in BoomTribe's Affiliate Program (the "Program"). As used in this Agreement, "We" and "Company" mean BoomTribe.com, and "You" and "Affiliate" mean the applicant. "Site" means a World Wide Web site and, depending on the context, refers either to BoomTribe's site located at the URL http://www.boomtribe.com, or to any site that you will link our site to (and which you will identify in your Program application). "Link" means graphical buttons, banners, icons, text links, and other items provided by BoomTribe to be displayed on your site to be provided by us from time to time, which links and redirects the traffic to our homepage at http://www.boomtribe.com. 
Term of agreements:

The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term.

Modification:

We may modify any of the terms and conditions contained in this Agreement, and at any time and in our sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of referral fees, payment procedures and Program rules.

Relationship of parties:

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

Sale Commission Payment:

We will pay you sales commission on a monthly basis. Approximately 30 days following the end of each calendar month, we will send you a cheque for the sales commission earned on paid membership referrals via your site and verified by the program software. Payments will be made to each affiliate with an accrued balance of $25 or greater. Balances of less than $25 will be credited towards the next calender month or until this Agreement is terminated.

Limited Liability:

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total sales commissions paid or payable to you under this Agreement.

Linking:

We will provide You with links, including URL addresses and appropriate graphics, with which you may link your Web site to our Web site or any other such Web site(s) as we may establish from time to time.

You agree to display the Link Materials appropriately on your Web site and to respect our trademarks and images. You will not alter the look or feel of these Link Materials or of our Web site in any way. You will use reasonable efforts to update to new versions of Link Materials as we make them available.

Tracking:

Company will be solely responsible for tracking sales using special software that communicates with the specially encoded URLs assigned to Affiliates. Company will endeavor to ensure accurate tracking of Affiliate referrals. Affiliates themselves will be solely responsible for ensuring that these special URLs are formatted properly, a necessary prerequisite to accurate tracking of referral sales.

Affiliates hereby acknowledge that the tracking system employed is not 100% fail-safe, and some referrals may not be credited to the Affiliate despite BoomTribe’s best efforts. As such, Affiliates will not hold Company liable to compensate for any claimed commissions not tracked and recorded by the tracking software.

Spam:

This company has a zero tolerance policy for spam. Any Affiliate accused of spamming will be immediately suspended while the company, in their sole discretion, determines if the validity of the spam complaint. Valid spam complaints will result in the immediate termination of your account and forfeiture of any commissions owed you.

Miscellaneous:

The laws of Barbados will govern this Agreement. Any action relating to this Agreement must be brought in Barbados’ courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

Independent Investigation:

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
